Confirmation statement
Also called: CS01, annual return, Companies House confirmation statement
The statement every company must file at Companies House at least once a year, confirming that the information held about it (such as its registered office, directors and people with significant control) is up to date.
It replaced the old "annual return" in 2016. It's easy to forget in a volunteer-run company, and missing it is an offence and can lead to the company being struck off.
The timing
- Each "review period" is normally 12 months, starting from incorporation (or the last statement).
- You must file within 14 days after the end of each review period (s.853A).
- You can file earlier, which starts a new 12-month period.
What to know
- There's a filing fee. Companies House publishes the current fees on GOV.UK.
- Since 18 November 2025, directors must have verified their identity with Companies House. Existing directors give their personal code as part of the company's next confirmation statement, and Companies House won't accept the statement until every director has verified.
- Changes such as a new director or a new registered office should be filed as they happen, not saved up for the statement.
